Silicon Labs is a high-tech publicly traded company headquartered in Austin, Texas. The selected candidate will be part of a close-knit legal team and will work directly with the Chief Legal Officer as well as the Director of Intellectual Property in supporting a variety of compliance matters, mergers and acquisition and corporate law matters. The functions of this position will require ensuring compliance with federal and state securities and corporate laws, as well as related rules and regulations; helping manage corporate stewardship and Board of Directors; reviewing NASDAQ/SEC filings, including periodic reports, quarterly filings, proxy statements, etc.; and advising on corporate and regulatory compliance legal issues.

What you will work on:

• Ensuring compliance with federal and state securities and corporate laws, as well as applicable rules and regulations of NASDAQ/SEC.
• Preparing and review of corporate filings, including periodic and current reports, quarterly filings, proxy statements, etc., as well as advising on applicable securities law issues
• Provide support for the board of directors, including preparing and reviewing materials for the board and its committees
• Preparing corporate documents, such as minutes, consents, resolutions, certificates, charters, and policies.
• Coordinating with internal business units and external legal counsel, as appropriate, and provide legal advice to the global trade function with respect to trade compliance issues, operating procedures, and technology control plans
• Preparing and filing export control, export license, and compliance related documents including identification of commodity classifications (ECCN) and tariff classification (HTS)
• Assisting t in merger and acquisition projects
• Assisting in corporate finance and corporate stewardship matters worldwide

Skills you will need:

• JD from an accredited law school with strong academic credentials
• 5-6+ years of experience with a high-level law firm or corporate department
• Experience with corporate and securities law, mergers and acquisitions, and corporate finance
• Experience in trade compliance or import/export fields would be helpful, but it is not required
• Strong problem solving and organizational skills
• Superior written and verbal communication skills
• Eager to learn new areas of the law and strong desire to advance legal skills
