TITLE: Counsel – Special Law

COMPANY: Siemens Corporation

DUTIES: Serve as the senior Legal Counsel for all SFS Project Finance business in the United States, Canada and Latin America (including Columbia, Brazil, Chile, and Mexico), reporting directly to the Siemens Chief Counsel Banking & Finance Americas and indirectly to the Siemens US General Counsel. The candidate will work closely with the Siemens Financial Services, Inc.(the “Corporation”) Chief Executive Officer, Chief Risk Officer and Chief Financial Officer, as well as other senior management for the Corporation and Siemens Financial Limited (Canada). Collaborate and work closely with stakeholders, business partners and outside counsel on managing all aspects of project finance transactions, from credit approval through closing and portfolio management. Responsible for reviewing, drafting, and negotiating complex project finance transaction documents with a heavy focus on the energy sector. Responsible for managing external Counsel, if engaged, which includes managing and approving all external counsel legal spend. Approximately 10% travel required. This position will be based in the Iselin, NJ office.

REQUIREMENTS: Juris Doctor (or foreign degree equivalent) and 5 years of experience in the job offered or in an acceptable alternate occupation. Must have 5 years of experience with the following skills: ability to review, draft and negotiate entire suite of complex project finance transaction documents, as evidenced by list of representative transactions; experience working closely with business partners with large law firm experience or in-house experience in a large global company; experience effectively managing outside counsel, including negotiating engagement agreements, setting budgets and managing spend; and experience establishing and managing policies and procedures. Must have “First chair” experience working independently on project finance transactions, with a heavy concentration in the energy sector. Must be eligible to practice in-house in New Jersey. Approximately 10% travel required.

OTHER: Iselin, NJ. 40 hours/week; $236,150/year.
