Your Opportunity

In this role you will: Balance multiple, simultaneous projects; Negotiate and draft agreements daily; Advise the Schwab business team on various issues related to advertising, promotions and marketing law, including trademark and copyright issues; Communicate with business partners and other internal partners, including building consensus; Develop and train business teams on trademark and copyright issues; and Be responsible for the development and implementation of policies and procedures for the corporate contracting process that improve efficiencies between business partners, internal vendor management and Legal Services.

What you’re good at

IP and Transactional Legal Support (50% of time):

  • Providing legal advice to clients, including the Executive Leadership Team, regarding: licensing; technology; e-commerce; transactional/commercial contract terms; technology emerging trends; cloud, hosting, SaaS/IaaS/PaaS; APIs.
  • Support business partners on handling and resolving IT audits.
  • Advise Schwab’s Digital team regarding online content, terms of service, etc.
  • Reviewing, negotiating, and drafting complex r commercial contracts involving a wide variety of subject matter (professional services agreements, software license agreements, ASP agreements, cloud agreements, development and innovation agreements, e-commerce agreements, telecommunications agreements, advertising agreements, marketing agreements, content licenses, market data licenses, releases, sponsorship/service agreements, outsourcing agreements, API agreements; sweepstakes), and across business enterprises within Schwab, including leading the process for complex transactions that require input from a wide variety of partners (e.g., Information Security, Privacy, Compliance, Business Partners, Regulatory and Enterprise Counsel, Corporate Vendor Management, etc.).
  • Work closely with Enterprise Counsel, Corporate Vendor Management, Regulatory Liaison Office (RLO) and Schwab’s multiple Risk Groups (Privacy, Information Security, Compliance, Business Continuity/Disaster Recovery, Insurance, Corporate Security, etc.).
  • Serve as an advisor to senior management on critical legal, business and regulatory issues, as well as counterparties on critical, sensitive issues such as deal terms, risk assessments and advancements, strategy, contracting and IP policy.
  • Build and lead contract templates and playbooks.

Legal Support for Brand, Marketing, Digital Business Teams (50% of time):

  • Serve as a subject matter authority in providing legal advice to business partners in the areas of trademark, copyright and publicity issues to support Schwab’s advertising, media, marketing and digital business partners.
  • Provide oversight of foreign and domestic counsel and advise business partners on long term strategies and standard methodologies.
  • Clear all trademarks, logos, taglines and slogans used by Schwab.
  • Run Schwab’s global trademark portfolio.
  • Lead Schwab’s trademark prosecution and implementation strategies and negotiate trademark settlements.
  • Monitor changes in Schwab’s brand guidelines, trademark usage, marketing and brand strategy, and advise on emerging trends.
  • Build strong professional relationships with Schwab’s business teams in Brand, Marketing, Digital, and Events.
  • Develop, review and revise guidelines and protocols on trademark, advertising, brand and marketing matters.
  • Engage with key internal partners on various relevant risk mitigation activities and initiatives.

What you have

  • 7+ years of significant trademark/copyright and licensing/transactional experience;
  • Outstanding academic credentials;
  • Experience working in-house a plus;
  • Illinois, California, or New York Bar admission required;
  • CRISC, CISA, CISSP, COP, CIPP, and/or ISSMP certification(s) a plus;
  • Experience supporting large financial institutions a plus;
  • Understanding of how to balance legal risk with business objectives and successfully get deals closed;
  • Ability to counsel senior management, including the ability to communicate risks clearly and succinctly on intellectual property matters, technology transactions and other commercial contracts;
  • A proactive nature, teammate, and "can do" attitude; ability to work within an established structure; and a sense of humor
