Corporate Counsel

Job Description

We are looking for a talented Corporate Counsel to join our team in our San Mateo office. You must have the ability to work under pressure, meet deadlines and exercise sound business judgment with critical thinking skills and high ethical standards. You should be a practical, clear, creative, business-focused and solution-oriented attorney, and a team player with a positive, can-do attitude.

Essential duties and responsibilities may include, but are not limited to:

• Provide commercial transaction support for various departments and business units under Rakuten Rewards
• Review, negotiate, and draft a broad range of legal agreements, including SaaS agreements, technology licenses, service agreements, and partnership agreements
• Provide advice and support company-wide, worldwide on a variety of legal issues on a daily basis in a timely and effective manner.
• Formulate and implement corporate legal policy concerning a variety of legal issues.
• Identify, research and analyze relevant federal, state and local requirements and translate the requirements into business solutions.
• Participate in due diligence for mergers and acquisitions and other transactions including drafting and reviewing agreements.
• Other duties as assigned by the General Counsel.

Qualifications

• J.D. and admitted to the bar and in good standing to practice law in California
• 4+ years of relevant experience (may be combined in-house/law firm experience, but at least 1 year in-house)
• Strong communications skills, both written and verbal
• Excellent business and legal judgement
• Experience in e-commerce, ad tech, payments, data privacy, and/or information security, a plus
