Job Description
Position SummaryMid to senior level attorney with 6-8 years of commercial transactions experience, reporting into Global VP, Legal & Contracts Thales CPL. In-office position. The primary responsibilities of the Senior Legal Counsel will be to draft, structure, review and negotiate a broad range of complex, commercial agreements in accordance with internal standards, policies and applicable laws and regulations in a timely and efficient manner. The ideal candidate will have strong commercial transactional skills including technology & software licensing expertise, a willingness to learn other legal disciplines impacting the technology field, excellent people & time management skills, and pragmatic business judgment.
Essential/Key Areas of Responsibility
- Responsible for drafting, negotiating, structuring, implementing, managing, and monitoring a wide variety of commercial agreements, including but not limited to, sale side and buy side agreements, licensing agreements, master services agreements, statements of work, RFP responses, and supporting documents all in line with Thales policies and procedures.
- Responsible for identifying and analyzing legal issues, drafting key documents and presenting clear recommendations.
- Advise business partners of contractual rights and obligations and provide interpretation of terms and conditions.
- Be responsible for a product line(s) as a subject matter expert, creating templates and advising in-country legal, management and product line about legal aspects of the product line(s) for which you are responsible.
- Help develop ways to focus Legal & Contract resources on value added tasks, such as creating handbooks, guidelines and other tools and trainings to empower relevant stakeholders within the organization (sales, customer success, operations, business development and marketing, etc.)
- Work closely with Thales in-country experts in ensuring that contractual commitments comply with applicable laws and regulations (including data protection and privacy laws, environmental laws (RoHS/REACH/CE), competition law, trade compliance and export control, anti-corruption, intellectual property, etc.) and actively endeavour to mitigate any risks relating thereto
Technical Knowledge/Skills & Experience Required
- Strong interpersonal skills, ability to demonstrate flexibility and creativity and the ability to work effectively with all levels of the organization.
- An all-around team player with the ability to apply innovative problem-solving skills and practical business judgment to optimize benefits and foster strategic business relationships.
- Extensive experience drafting and negotiating B2B software as a service agreements, software license agreements software maintenance/support obligations, professional services agreements in relation to configuration and installment of software, and hardware purchase agreements.
- Excellent verbal and written communication skills in English.
- Strong analytical and strategic thinking skills coupled with strong organizational & time management skills.
- Ability to work effectively in fast-paced commercial environment within a matrix organization.
- Strong leadership and people management skills, both within Legal and across the wider business.
- Work in the tech industry a plus.
- Knowledge of and work with channel programs a plus.
Educational Requirements - Law degree from an accredited institution (required).
- Must be admitted to TX Bar.
