DescriptionLeica Biosystems, a Danaher Corporation group of companies, is seeking a Paralegal for its Buffalo Grove, IL office. Leica Biosystems is a global manufacturer and distributor of cancer diagnostic products with offices throughout the world. Reporting to the Senior Counsel, the Paralegal will support the members of the department’s professional staff with paralegal projects in the areas of general corporate governance, contract administration, and other legal/compliance work or other special projects as assigned. Major Responsibilities
- Corporate Governance: Manage, update and keep organized the company books for all entities, draft consents, designations, Power of Attorneys (POA), resolutions and other corporate documents; coordinate appointment and removal of all corporate officers and directors.
- Contract Administration: A material portion of this position’s work will be devoted to assisting in the legal review of Non-Disclosure Agreements (NDA) and other standard forms of contracts (consulting, trade show, hotel, etc.) for our global customer base; maintain contract files, including following up on executed versions of contracts and notifying business unit representatives of impending important contract dates. A strong background in contract drafting and review is a requirement for this position including an understanding of contract document provisions applicable to healthcare contracts.
- Support Corporate functions: Assist and provide support and coordinate efforts to create efficient processes for response to queries from various departments (Sales, Marketing, Supply Chain, etc.).
- Assist with copying, drafting letters, typing, sending UPS packages, etc.
- Further paralegal type duties to be assigned based ability and experience.
Job Requirements QualificationsRequired Education, Experience, Skills
Education: High School diploma or GED
Experience/Skills:
- Two or more years of experience as a paralegal which should preferably be in-house for a corporation or a corporate law firm.
- Ability to work in a team-oriented environment and meet tight deadlines.
- Demonstrated ability to work with internal and external counsel, other legal resources and to interact with senior management. Must demonstrate a high degree of organizational skills and professionalism.
- Strong presentation and written and verbal communication skills; strong project management skills.
Desired Education, Experience, Skills
Education: Bachelor’s Degree from an accredited college or university, and/or a paralegal certificate from an ABA accredited school (or any equivalent combination of related experience, training, and/or education)
