Job Description

The Role

Tesla is looking for an experienced, business-focused Commercial Real Estate Attorney to join our real estate legal team. The Senior Corporate Counsel will provide overall real estate legal services for all Tesla’s business activities. This is a highly critical role, as the individual will work closely with all level stakeholders at Tesla. The ideal candidate is a true self-starter, creative problem solver who will be able to hit the ground running with little supervision, who understands the business objectives and can effectively manage and resolve simultaneously-occurring real estate related matters, including lease negotiations. The ideal candidate should be able to think outside of the box and work on and negotiate a wide variety of real estate documents and will be expected to take initiatives and drive solutions while having a great attitude and a client-service oriented approach. This position will be based in our Fremont, CA location.

Responsibilities:

Prepare, review and negotiate commercial and industrial leases (e.g. retail, warehouse, energy, corporate facilities, Tesla centers leases etc.), subleases, purchase and sale agreements, construction, build out agreements as well as a wide range of ancillary real estate related documents (amendments, assignments, easements, license agreements, event agreements, service contracts, construction agreements, MSAs, brokerage agreements , SNDA, estoppels, etc.) and other legal documents and project-manage real estate transactions by working closely with Construction, Design, Finance and Corporate Real Estate

· Manage and accurately deliver multiple projects expeditiously on very tight deadlines. Must be able to identify and discuss legal and business issues and assist the teams in resolving such issues in the best interest of the company, assess risks and make sound and practical judgement calls.

Provide directions and practical, business-oriented advice and counseling on a range of real estate issues (i.e. permitting and licensing, impact fees, acquisitions, construction and risk management/ insurance activities, mechanic liens, zoning variances, building codes, lien releases, ADA, title and survey issues, etc.) and address lease interpretation issues related to existing and new locations.

• Work closely with Lease Administration with respect to property management issues (e.g. landlord/tenant issues, maintenance, defaults, rent discrepancies, possession, surrender, TIA collections)

· Review reports and other due diligence materials related to potential title and environmental liabilities (e.g. title reports, CC&R, easements, phase 1 reports)

· Contribute to the development, delivery and maintenance of a broad range of leases, LOI, construction and other numerous templates to be used across our portfolio

· Identify opportunities for internal process improvements and proactively assist in implementing them

· Manage real estate or construction related pre-litigation, including notices, demand letters, opposing counsels correspondence , etc. and effectively negotiate resolution of claims

· Ensure on-going compliance with current and pending legal real estate related regulations

· Provide guidance and advice on legal aspects of leasing, acquisitions, dispositions and other general real estate matters.

Requirements:

· Juris Doctor Degree or LL.M. Admitted to CA bar or ability to register as RIHC

· At least 7 to 9 years real estate experience negotiating leases and handling RE matters in-house and law firm

· Development/construction and/or title/survey work experience a plus

· Strong negotiating and drafting skills and ability to engage effectively with opposing parties

· Proactive, strong attention to detail and organizational skills with the ability to prioritize and juggle multiple tasks and adjust to shifting priorities. Willingness to work in a truly scrappy environment

· Diplomatic, good sense of humor, non-assuming with a strong collaborative work ethic. Enjoy working independently in an extremely fast-paced, high pressure and incredibly dynamic work environment

· Progressive, documented accomplishments with a broad diversity of experiences

· Bilingual Spanish (written and oral) preferred
