Senior Counsel, R&D Business Development
Cambridge, MA

OBJECTIVES/PURPOSE
- Contribute to the R&D Legal function by supporting senior attorneys on business development transactions.
- Lead selected licensing and other business development transactions for Takeda’s R&D function.
- Develop and apply analytical skills to assist with the completion of complex transactions.
- Collaborate with colleagues in multiple geographies and functions with strong emphasis on ethics, diversity and inclusion and the Takeda patient-centric focus.
SCOPE
- Perform legal research and conduct due diligence on various areas of established and emergent legal areas, including licensing, M&A, venture investing, divestitures, cross-border law, and other areas.
- Review and provide guidance on a variety of R&D-related collaborations, in- and out-licenses, divestitures, venture investments and all related agreements.
- Act as R&D Legal representative as-needed on cross legal/cross-functional teams for special projects important to the business, including working on cross-border teams.
- Draft and negotiate documents that support complex transactions.
ACCOUNTABILITIES
- Perform legal research, prepare summaries and deliver presentations on topics of interest in the pharmaceutical industry.
- Conduct due diligence on complex transactions while meeting critical deal timelines.
- Summarise agreements and maintain complete and accurate records of transactional matters.
- Provide drafting support and review of a wide variety of strategic agreements, including complex collaborations, licenses (in- and out-), investment-related agreements.
- Draft amendments and other documents to support collaboration agreements.
- Participate as a second chair in assigned deal negotiations.
- Act as lead counsel on selected transactions.
- Proactively coordinate with legal colleagues globally to contribute to and to stay abreast of global pharmaceutical laws and regulations.
- Foster strong relationships within R&D, compliance, intellectual property law and other related groups to create efficient and effective processes and tools for clients.
- Contribute to cultivating a company culture that reflects a strong commitment to ethics, patients, employee engagement, diversity and inclusion.
DIMENSIONS AND ASPECTS
Technical/Functional (Line) Expertise
- Working knowledge of research and development of innovative pharmaceutical products.
- Experienced in contract negotiation and drafting with an understanding of contracting principals such as intellectual property, liability, indemnification, etc.
- Solid understanding of the laws and regulations of drug development and commercialization and the ability to interpret and apply the same.
Leadership
- Maintain an enterprise view in developing and delivering legal guidance to client base.
- Superior written and verbal communication skills, including the ability to communicate concisely to senior attorneys, clients and senior management.
Decision-making and Autonomy
- Contribute to the development of tools to optimize group productivity.
- Contribute to cross-functional/global initiatives to improve legal services in a risk appropriate manner.

- Collaborate with legal and non-legal colleagues that contribute to the company’s drug discovery and development efforts.

- Have an interest and experience in piloting new approaches to improve legal services in a risk appropriate way.

- Experienced in analyzing complex projects and issues to identify legal risks.
- Experienced in successfully navigating a highly matrixed global work environment.
- Experience working on cross-functional teams while maintaining compliance with relevant laws, regulations and company policies.
EDUCATION, BEHAVIOURAL COMPETENCIES AND SKILLS:
- A minimum of 3-7 years of experience preferred in a law firm or pharmaceutical or biotechnology legal department working with contracts in the pharmaceutical/biotech industry
- Experience reviewing, drafting, negotiating and advising on a variety of agreement types
- Self-motivated, solid business acumen, and excellent written and oral communication skills
- Sound conflict resolution skills and ability to work in a collaborative, global environment
- J.D.
- Active membership and in good standing in a state bar

U.S. Base Salary Range:
$149,100.00 - $234,300.00
The estimated salary range reflects an anticipated range for this position. The actual base salary offered may depend on a variety of factors, including the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job. The actual base salary offered will be in accordance with state or local minimum wage requirements for the job location.
U.S. based employees may be eligible for short-term and/ or long-term incentives. U.S. based employees may be eligible to participate in medical, dental, vision insurance, a 401(k) plan and company match, short-term and long-term disability coverage, basic life insurance, a tuition reimbursement program, paid volunteer time off, company holidays, and well-being benefits, among others. U.S. based employees are also eligible to receive, per calendar year, up to 80 hours of sick time, and new hires are eligible to accrue up to 120 hours of paid vacation.
