Planned Parenthood Federation of America (PPFA) is a 501(c)(3) charitable organization that supports the independently incorporated Planned Parenthood affiliates operating health centers across the U.S.
Planned Parenthood Action Fund is an independent, nonpartisan, not-for-profit membership organization formed as the advocacy and political arm of Planned Parenthood Federation of America. The Action Fund engages in educational, advocacy, and electoral activity, including grassroots organizing, legislative advocacy, and voter education. Serving as a member of the General Counsel’s Non-Profit Compliance team, the Associate General Counsel will specialize in non-profit legal compliance, and is responsible for providing first-rate legal advice and business leadership on a wide range of matters, including corporate governance, nonprofit tax law, and fundraising on behalf of PPFA, Action Fund, Planned Parenthood Global, Planned Parenthood Federal PAC, and Planned Parenthood Votes (collectively, the “National Office”). The Associate General Counsel reports directly to the Deputy General Counsel.
Purpose: The Associate General Counsel helps to ensure the National Office’s compliance with a variety of applicable laws and regulations governing exempt organizations (including 501(c)(3), 501(c)(4), and 527 organizations), including federal, state/local, and international tax, campaign finance, lobbying, fundraising, and corporate governance laws by efficiently and effectively providing counsel and service to internal clients in a rapidly adapting environment.
Engagement: The Associate General Counsel will engage National Office staff and stakeholders across all levels of the National Office to build collaborative and effective partnerships that will enable the National Office to be effective, comply with relevant laws and regulations, and mitigate risk.
Delivery: The Associate General Counsel’s duties and responsibilities include: ●Provide continuing counsel and guidance on legal matters and on legal implications of all matters related to non-profit tax law compliance, advocacy and political work, fundraising, and corporate governance for U.S. and international based non-profit organizations, including 501(c)(3), 501(c)(4), and 527 organizations ●Ensuring that the National Office conducts its business in compliance with all applicable U.S. and international laws and regulations for exempt organizations, including tax, federal and state campaign finance laws, lobbying disclosure requirements, and gift and ethics rules ●Educating and training National Office staff regarding legal risks and obligations related to tax laws governing exempt organizations, advocacy and political law, fundraising, and corporate governance ●Serve as legal advisor on the National Office’s major transactions and programs, including contract negotiation and review ●Participate in defining, assessing, and/or developing corporate policies, procedures, and/or programs ●Assist in selecting, retaining, managing, and overseeing outside counsel, as necessary to support the National Office’s programmatic and operational needs ●Provide advice on other matters requested by the General Counsel and Deputy General Counsel
Knowledge, Skills and Abilities ●Education: Juris Doctor (JD) from accredited U.S. law school ●Bar Admission: Eligible to practice in New York or Washington, DC
Experience: At least five years of legal experience required. Expertise in not-for-profit corporate and tax matters required. Experience as in-house counsel or as an attorney for a relevant regulator is a plus. Demonstrable in-depth knowledge of issues impacting international non-profits is a plus, including international employment, contract, and corporate law.
Competencies: ●Exceptional research, analytical, and problem-solving skills, with the ability to think strategically and creatively about legal and business issues ●Ability to provide sound business advice as well as first-rate legal counsel to business partners at all levels, including executive team and senior leaders ●Excellent interpersonal skills and ability to positively and successfully manage relationships with a diverse group of stakeholders across organizational lines ●Ability to exercise agility, adaptability, and practicality in providing legal advice ●Commitment to providing professional, authoritative, and timely legal advice and services to all clients ●Excellent judgment and proven experience analyzing risks and making risk determinations ●Excellent written and verbal communication skills, including the ability to translate complicated legal concepts into accessible language for a wide audience ●Ability to excel under pressure in a fast-paced, highly innovative, and rapidly changing environment ●Ability to work collaboratively with program and operations teams ●Knowledge of and sensitivity to different racial/ethnic and socioeconomic backgrounds, and people with different gender identities, cultural differences and disabilities. ●Must be client-focused and committed to “getting to yes”

Title: Associate General Counsel
Salary Range: $160-175k $160,000 - $175,000 a year Total offer package to include generous vacation + sick leave + paid holidays, individual/family provided medical, dental and vision benefits effective day 1, life insurance, short/long term disability, paid family leave and 401k.
