We are looking for a Senior Commercial Counsel to join the global legal team in EMEA, reporting to the Deputy General Counsel, Commercial Legal in the US. In this role, you will bring leadership and legal expertise to different stakeholders on commercial transactions, and other strategic transactions. You will provide your own creative solutions and strategic thinking globally and take on projects in new areas that you are interested in. You are the ideal candidate if you want to apply a “beginner’s mind” to tackle complex legal problems and scale operations whilst unleashing human potential and driving business transformation. What you’ll do:

• Review, draft, and manage customer agreements, partnership agreements, services agreements, statements of work, terms of service, end-user agreements, and data processing agreements (DPAs), and support the continuous improvement of standard form agreements and legal processes
• Advise cross-functional stakeholders on legal issues and risks, approval processes, company policies and procedures, and business strategy as part of commercial transactions, product development, and day-to-day business operations
• Respond promptly to legal requests from Sales, Finance, Products, Business Development, Marketing, and other clients, summarizing and communicating legal concepts that businesspeople can implement
• Support our Product & Privacy Counsel with working knowledge of GDPR and other domestic and international data protection, privacy regulations, and best practices, including DPAs
• Collaborate with and manage outside counsel, manage risks, and propose solutions to mitigate risks concerning transactions, contracts, operations, and litigation
• Support the continuous improvement of standard form agreements and scale legal operations and processes
• Support other cross-functional strategic initiatives such as innovation projects to help streamline and scale the business

What you’ll bring:

• Minimum 7 years of in-house and/or top-tier law firm experience in technology licensing or transactional law
• Good standing to practice law in the country in which you reside
• Demonstrated experience advising clients in structuring complex domestic and international transactions
• Background in drafting and negotiating service agreements, sales contracts, licenses, alliance agreements, and intellectual property agreements
• Experience with government contracting, compliance, and flow-down requirements
• Working knowledge of GDPR and other domestic and international data protection and privacy regulations
• Familiarity with network security, and cloud computing is preferred but not required
• JD degree or equivalent degree

• Develop a strong understanding of Infoblox’s products and business model
• Build partnerships with cross-functional leaders
• Focus negotiations on the most critical aspects of Infoblox’s objectives

• Become an expert on Infoblox’s contracting model and sales cycle
• Establish yourself as a trusted partner and advisor to your business clients and cross-functional peers
• Contribute to the development and execution of innovative projects that align with our vision and strategy, such as AI and automation
