The Finance Attorney (Transactional) is a key position for our success. We are seeking a highly qualified candidate that has a track record of success as a lawyer and is now looking to break into the fintech space and specifically digital assets.. As such, the Finance Attorney (Transactional) will be crucial for partnership and strategic transaction execution. Why you might love this opportunity Our legal, credit, and investment teams work on some of the most challenging and cutting-edge questions in the global financial services and securities sectors. As our Finance Attorney you will develop and execute legal and regulatory strategies aiming to increase the scale and efficiency of our lending, trading, and securities issuance book of business. You’ll spend 50% of your time working directly with our credit and investment teams helping to build the off-chain infrastructure allowing our asset managers and business leads to scale their operations and 50% of your time working with the legal team to build out our securities issuance pipeline and infrastructure.

Requirements:

• Juris Doctor degree from accredited, top-tier law school, 4+ years of practice with an established law firm or as transaction counsel at a leading financial services company (preferably focused on private markets investments).
• Proficient legal experience in corporate structuring, debt transactions, fund investments, bankruptcy restructuring or M&A
• Significant experience drafting and negotiating various complex loan documentation including credit, and security agreements
• Knowledge of statutes, rules, and regulations pertaining to United States financial services and / or securities offerings
• Proficient legal experience in customer marketing and disclosures for financial products
• A self-starter mindset with the ability to own problems from start to finish
• Excellent verbal and written communication skills

Responsibilities:

• Developing and defining the structured finance strategy and framework for TrustLabs and subsidiary entities
• Minimizing regulatory and litigation risk
• Lead, design, and draft structured finance documents (loan agreements, securities offerings, etc.)
• Partnering with our credit and investment teams to assist in building out their internal infrastructure and document stack
